Welcome to Transcend FZCO, a UX/UI design agency dedicated to providing premium design services on a month-to-month basis. These Terms of Service ("Terms") govern your use of our design services ("Services") and are entered into by you and Transcend FZCO ("we", "us", or "our"). By using our Services, you agree to be bound by these Terms, including any policies referenced herein. If you are entering into these Terms on behalf of a company or another legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Services and Payment We provide UX/UI design services billed on a month-to-month basis. Services shall be defined in the work order or proposal provided to you. Payment terms will be specified in your service agreement, and payments are due in accordance with the payment schedule outlined therein.

2. Term and Termination These Terms will remain in full force and effect while you use our Services. Either party may terminate the service agreement with thirty (30) days written notice. Upon termination, all outstanding payments become due.

3. Web3/Cryptocurrency Clause While we provide design services to a wide range of clients, including those operating within the web3 and cryptocurrency sectors, we specifically disclaim any liability for the use, functionality, or effects of the design work once delivered. Our role is limited to design, and we do not assume responsibility for the acts, omissions, or outcomes of any projects or companies that utilize our designs, including but not limited to web3 and cryptocurrency projects. You acknowledge and agree that our design work does not imply endorsement of or liability for any specific application, project, or functionality it may provide or enable.

4. General Limitation of Liability We are not liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

5. Indemnification You agree to defend, indemnify, and hold harmless Transcend FZCO and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; or b) a breach of these Terms.

6. Modification of Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

7. Governing Law These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates (UAE) for services performed within the UAE, and the laws of the United Kingdom (UK) for services performed within the UK, without regard to its conflict of law provisions.
